Agent Ops Club Member License Agreement

Version 1.3, effective September 7, 2026

This agreement is between you (the "Member") and Reinventing.AI ("we", "us") and covers the software, source code, premium AI Employees, the kits we produce with the Agent Builder and provide to members, skills, routines, templates, workflows, the Sales Tools, and training materials made available inside the Agent Ops Club (the "Club") to paying members (the "Materials"). The eight open source AI Employees we publish on GitHub (github.com/markfulton/ai-employees, public from September 19, 2026) are released under the MIT License, are not Materials, and are not covered by this agreement.

1. What you get

While you hold an active Pro membership, or for as long as the Agent Ops Club operates if you hold a Lifetime membership, you receive a non-exclusive, worldwide license to:

• Use the Materials for your own business and projects.
• Customize, rebrand, and extend the software in the Materials.
• Deploy customized versions of the software for your own clients, and charge for that work at any price you set.
• Sell access to deployed, hosted instances of the software as a service you operate.
• Configure, install, and operate premium AI Employees for clients, and charge for that work. Section 3 states this in full.
• Sell implementation, consulting, and managed operations services built on what you learn and use here. Section 4 states this in full.

On Pro monthly, downloads are fair use: up to 3 premium products per calendar month, counted per product on the Eastern calendar month, so a further file from a product already downloaded that month, or the same file again, does not count. Premium AI Employee kits count like any other product. The rights in this section apply to every product you have downloaded. On Pro yearly and Lifetime there is no monthly count. Moving to Pro yearly or Lifetime at any point removes the count the same day.

2. What you may not do

• Resell, redistribute, share, sublicense, or publish the Materials themselves. This includes source code, repositories, premium AI Employee kits, skills, routines, training content, prompts, and internal documentation, whether modified or not.
• Provide the source code to clients or third parties. Client engagements are delivered as deployed and configured software, not as code handoffs, unless you have a separate written agreement with us.
• Package the Materials into a competing course, template library, marketplace listing, or public download.
• Share your member account, downloads, or download links with anyone.
• Use the Materials to build a product whose primary purpose is to compete with the Agent Ops Club itself. This does not restrict anything you do with the open source AI Employees, which the MIT License governs.
• Claim authorship of the original, unmodified Materials.

3. AI Employees

There are two kinds.

The eight open source AI Employees in our public GitHub repository are licensed under the MIT License. That license, not this agreement, governs them. You may use, modify, redistribute, and hand them to clients, provided the MIT copyright notice stays intact.

Premium AI Employees, meaning any AI Employee, routine, or kit delivered only inside the Club, are Materials and carry the same rights and limits as the rest of the library. You may customize them, install and configure them inside a client's environment as part of a paid engagement under your own brand at any price you set, and run them on your own infrastructure and sell the output as a managed service, with no revenue share to us. Anything you author yourself, including any kit the Agent Builder writes for you, is yours outright and is not covered by this agreement.

You may not hand a client a premium AI Employee kit as a redistributable asset, publish it, or list it as a product in its own right. You sell the deployment and the operation, not the package.

4. Implementation services

Nothing here restricts you from selling your own work. You may sell agent operations implementation, consulting, audits, setup, migration, training you deliver yourself, and ongoing managed operations. Any price, any client, under your own brand, with no revenue share to us.

The single boundary is section 2. You may teach a client to operate what you built for them. You may not hand over or republish our training materials as your own.

5. Client work and ownership

You own the customizations you create. The underlying Materials remain ours. When an engagement ends, your client keeps the deployed instance you built for them. They do not receive rights to the Materials or the right to redistribute the software.

6. Membership, Lifetime, refunds and termination

For Pro members this license is tied to an active membership. If your membership lapses, your right to download Materials, receive updates, and deploy new client instances ends. Deployed instances you have already shipped may keep running, and engagements already under way may be completed.

For Lifetime members this license lasts for as long as the Agent Ops Club operates. If the Club ever closes, you will get at least twelve months' notice and a download window, and this license continues to cover every file you downloaded.

If a purchase is refunded, this license ends on the day of the refund and you agree to delete the Materials you downloaded.

Members who joined under an earlier Reinventing.AI program keep access on the terms of their existing subscription.

7. No warranty

The Materials are provided as is, without warranty of any kind. You are responsible for reviewing, testing, and securing anything you deploy for yourself or a client. We are not liable for damages arising from your use of the Materials, to the maximum extent permitted by law.

8. Changes

We may update this agreement for future versions of the Materials. Material changes are versioned, and you will be asked to accept the new version the next time you sign in. Continued membership after notice constitutes acceptance.

By checking the agreement box when you create your account, or when you accept a new version inside the members area, you confirm that you have read and accept this agreement.
